Senior Legal Counsel

We are looking for an experienced Russian-speaking lawyer specializing in Special Situations complex corporate matters involving shareholder relations control litigation and risk management. The role requires strategic judgment and hands-on legal expertise to support decision-making and ensure alignment within multi-layered shareholder and holding structures often governed by English law.

Responsibilities:

• Develop and implement legal strategies to protect shareholder and company interests
• Prepare legal positions procedural documentation and evidence for corporate litigation
• Represent the company in court proceedings and supervise external counsel
• Navigate complex shareholder networks and ensure consistent governance and control
• Draft review and amend shareholder agreements voting and ownership frameworks including those governed by English law
• Establish internal mechanisms for resolving sensitive corporate situations and ensuring compliance
• Advise senior management and shareholders on corporate governance structure and legal risks
• Support restructuring and transformation of ownership and holding chains

Requirements:

• 8 years of experience in corporate law litigation or special situations within holding groups investment firms or financial institutions
• Proven record in shareholder-related matters and maintaining governance integrity in multi-jurisdictional structures
• Strong knowledge of corporate commercial and procedural law including practical experience with English law documentation and principles
• Experience managing complex ownership structures and multi-stakeholder decision-making
• Fluent in English and Russian
• Core traits: strategic insight precision diplomacy and discretion
