We are looking for an experienced, Russian-speaking lawyer specializing in Special Situations complex corporate matters involving shareholder relations, control, litigation , and risk management . The role requires strategic judgment and hands-on legal expertise to support decision-making and ensure alignment within multi-layered shareholder and holding structures, often governed by English law.
Responsibilities :
- Develop and implement legal strategies to protect shareholder and company interests
- Prepare legal positions, procedural documentation, and evidence for corporate litigation
- Represent the company in court proceedings and supervise external counsel
- Navigate complex shareholder networks and ensure consistent governance and control
- Draft, review, and amend shareholder agreements, voting and ownership frameworks, including those governed by English law
- Establish internal mechanisms for resolving sensitive corporate situations and ensuring compliance
- Advise senior management and shareholders on corporate governance, structure, and legal risks
- Support restructuring and transformation of ownership and holding chains
