We are looking for an experienced, Russian‑speaking lawyer specializing in special situations complex corporate matters involving shareholder relations, control, litigation , and risk management . The role requires strategic judgment and hands‑on legal expertise to support decision‑making and ensure alignment within multi‑layered shareholder and holding structures, often governed by English law.

Responsibilities

• Develop and implement legal strategies to protect shareholder and company interests
• Prepare legal positions, procedural documentation, and evidence for corporate litigation
• Represent the company in court proceedings and supervise external counsel
• Navigate complex shareholder networks and ensure consistent governance and control
• Draft, review, and amend shareholder agreements, voting and ownership frameworks, including those governed by English law
• Establish internal mechanisms for resolving sensitive corporate situations and ensuring compliance
• Advise senior management and shareholders on corporate governance, structure, and legal risks
• Support restructuring and transformation of ownership and holding chains
